These terms (the “Agreement”) govern your use of the services and software provided by On-Basic (Pty) Ltd (“On-Basic”, “we”, “us”), including QuickBooks Online migration, setup, training, bookkeeping, VAT, payroll, and any connected applications. By engaging our services or connecting your QuickBooks Online company, you agree to these terms.
Services
We provide accounting technology and advisory services as agreed with you in writing or via a proposal. Scope, fees, and timelines are set out in the applicable proposal or engagement.
Your responsibilities
- Provide accurate information and the access we need to perform the services.
- Maintain your own QuickBooks Online subscription and account credentials.
- Use our services and any connected applications lawfully and only for your business.
Authorisation & data access
When you connect your QuickBooks Online company, you authorise us to access and process that data to deliver the services. You may revoke this access at any time. Our handling of your data is described in our Privacy Policy.
Fees
Fees are as quoted in your proposal or invoice and are payable per the stated terms. Late payment may result in suspension of services.
Confidentiality
Each party will keep the other’s confidential information secure and use it only to perform or receive the services.
Warranties & liability
We perform our services with reasonable skill and care. To the maximum extent permitted by law, our services are provided “as is”, and our total liability arising from the services is limited to the fees paid for the specific service giving rise to the claim. We are not liable for indirect or consequential losses.
Termination
Either party may end an engagement with reasonable written notice. On termination, you may request an export of your data and should disconnect any application access.
Governing law
This Agreement is governed by the laws of the Republic of Botswana.
